In pursuance of the requirements of art.115, letter “c”, paragraph 2 of the Public Offering of Securities Act we inform you that today – 03rd June 2009, at the regular General meeting of the shareholders of “BenchMark Fund Estates” REIT, on item 8 of the agenda “Adopting a decision about the distribution of the profit for the year 2008”, the following decision has been taken by the General meeting: „Because of the reported negative financial result from the activity of the Company for the year 2008, loss amounting at BGN 5,938,639.51 (five million, nine hundred and thirty-eight thousands, six hundred and thirty-nine leva and fifty-one stotinki), the General meeting takes a decision according to which no profit will be distributed. The General meeting takes a decision to partly cover the reported loss for the year 2008 to the amount of BGN 3,462,556.15 (three million four hundred and sixty-two thousand, five hundred and fifty-six leva and fifteen stotinki) with the funds gathered in the “Reserve” fund. As a result the funds in the “Reserve” funs will amount to BGN 2,339,470.60 (two million three hundred and thirty-nine thousands, four hundred and seventy leva and sixty stotinki), observing the compulsory minimum according to the Bulgarian legislation.”
